OVERVIEW Welcome to ACV Consulting! The terms “we”, “us”, and “our” refer to ACV Consulting. ACV Consulting operates this website, including all related information, content, features, tools, products, and services (the “Services”). The Services are designed to provide consulting assessments, strategic plans, fractional CMO support, brand growth packages, actionable roadmaps, digital masterclasses, and related professional services to help purpose-driven brands grow. ACV Consulting is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services—including browsing, purchasing, or engaging with any consulting services—you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. SECTION 1 - ACCESS AND ACCOUNT By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence (or the age of majority under applicable law), and you have the authority to enter into this agreement on behalf of yourself or any entity you represent.

To use certain Services, such as purchasing consulting assessments or accessing digital content, you may be asked to provide certain information, such as your email address, billing, and payment information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - OUR SERVICES We strive to provide accurate descriptions of our consulting services, assessments, strategic plans, digital masterclasses, and other offerings. However, consulting outcomes depend on many factors, including your implementation, market conditions, and other variables beyond our control. We do not guarantee specific business results, revenue increases, or other outcomes from our Services.

All descriptions of Services are subject to change at any time without notice at our sole discretion. We reserve the right to modify, discontinue, or limit access to any Service at any time.

SECTION 3 - ORDERS AND ENGAGEMENT When you place an order or engage our Services, you are making an offer to purchase or contract for those Services. ACV Consulting reserves the right to accept or decline any order or engagement for any reason. Your order/engagement is not accepted until we confirm acceptance (e.g., via email or order confirmation). Payment must be received and processed before Services begin.

Please review your order carefully before submitting, as we may be unable to accommodate changes or cancellations after acceptance. In the event we do not accept, modify, or cancel an order/engagement, we will attempt to notify you using the contact information provided.

Your purchases/engagements are subject to refund or resolution solely in accordance with our Refund Policy [LINK].

You represent and warrant that your engagement is for your own business or personal use and not for resale or unauthorized distribution of any deliverables.

SECTION 4 - PRICES AND BILLING Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time of purchase, as set out in your order confirmation. Unless otherwise stated, prices do not include applicable taxes or fees.

You agree to provide current, complete, and accurate billing and account information. You represent and warrant that (i) your payment information is true, correct, and complete, (ii) you are authorized to use the payment method, (iii) charges will be honored, and (iv) you will pay all charges, including taxes if applicable.

You are responsible for determining, collecting, remitting, and reporting any applicable taxes related to your purchase.

SECTION 5 - DELIVERY OF SERVICES Services are delivered digitally (e.g., via email, shared documents, online access, or scheduled consultations) or through virtual/in-person sessions as agreed. Delivery times are estimates only. We are not liable for delays due to factors outside our control, such as your availability for calls or third-party platform issues.

Once deliverables (e.g., reports, plans, access credentials) are provided or sessions completed, the Service is considered delivered.

SECTION 6 - INTELLECTUAL PROPERTY Our Services, including all trademarks, content, reports, templates, masterclass materials, graphics, and deliverables, are owned by ACV Consulting or its licensors and protected by U.S. and international intellectual property laws.

These Terms permit you to use deliverables solely for your internal business purposes (non-commercial redistribution prohibited). You must not reproduce, distribute, modify, create derivatives, publicly display/perform, or transmit any materials without our prior written consent. All rights not expressly granted are reserved.

Unauthorized use may violate intellectual property laws.

SECTION 7 - OPTIONAL TOOLS We may provide access to third-party tools (e.g., scheduling or collaboration platforms). These are provided “as is” without warranties or liability from us. Use is at your own risk; review the third-party's terms.

SECTION 8 - THIRD-PARTY LINKS The Services may link to third-party sites. We are not responsible for their content, accuracy, or practices. Access is at your own risk.

SECTION 9 - RELATIONSHIP WITH SHOPIFY ACV Consulting is powered by Shopify, which enables us to provide the Services. However, any engagements or purchases are made directly with ACV Consulting. Shopify is not responsible for any aspect of transactions between you and ACV Consulting, including any issues with Services. You release Shopify and its affiliates from related claims.

SECTION 10 - PRIVACY POLICY All personal information is subject to our Privacy Policy [LINK] and, where applicable, Shopify’s Privacy Policy. By using the Services, you acknowledge these policies.

SECTION 11 - FEEDBACK Any feedback you provide grants us a perpetual, royalty-free license to use it for any purpose. We have no obligation to respond or compensate.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS We may correct errors or inaccuracies on the site at any time without notice.

SECTION 13 - PROHIBITED USES You may use the Services only for lawful purposes. Prohibited actions include unlawful use, IP infringement, harassment, transmitting malware, spamming, or interfering with the Services. We may terminate access for violations.

SECTION 14 - TERMINATION We may terminate access at any time. Surviving sections include IP, Feedback, Disclaimer, Limitation of Liability, Indemnification, etc.

SECTION 15 - DISCLAIMER OF WARRANTIES Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement. We do not warrant uninterrupted, error-free access or specific results from consulting.

SECTION 16 - LIMITATION OF LIABILITY To the fullest extent permitted by law, ACV Consulting and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the Services, even if advised of the possibility.

SECTION 17 - INDEMNIFICATION You agree to indemnify and hold harmless ACV Consulting from claims arising from your breach of these Terms, violation of law, or misuse of Services.

SECTION 18 - SEVERABILITY If any provision is unenforceable, the remainder remains in effect.

SECTION 19 - WAIVER; ENTIRE AGREEMENT No waiver of any term constitutes a further waiver. These Terms constitute the entire agreement.

SECTION 20 - ASSIGNMENT You may not assign these Terms without our consent. We may assign without notice.

SECTION 21 - GOVERNING LAW These Terms shall be governed by the laws of the State of California, without regard to conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Alameda County, California.

SECTION 22 - HEADINGS Headings are for convenience only.

SECTION 23 - CHANGES TO TERMS OF SERVICE We may update these Terms by posting changes. Continued use constitutes acceptance.
